  1.                TERMS AND CONDITIONS FOR CUSTOMERS

  4. READ THESE TERMS AND CONDITIONS CAREFULLY. IF YOU DO NOT AGREE
  5. WITH THEM, YOU SHOULD SELECT THE æDO NOT ACCEPTÆ OPTION ON
  6. INSTALLATION.
  7.  
  8. 1. Service Obligation
  9.  
  10. 1.1 UUNET PIPEX (trading name of The Public I.P. Exchange
  11.     Limited) undertakes to provide the Customer with Dial-Up
  12.     Internet Access ("the Service"). UUNET PIPEX will use its
  13.     reasonable endeavours to provide a prompt and continuing
  14.     Service but will not be liable for any loss of data 
  15.     resulting from delays, non-deliveries, missed deliveries,
  16.     or service interruptions caused by events beyond the control
  17.     of UUNET PIPEX, or by errors or omissions of the Customer.
  18.     UUNET PIPEX specifically excludes any warranty as to the
  19.     accuracy of information received through the Service.
  20.  
  21. 1.2 Save as expressly set out herein, all conditions or
  22.     warranties which may be implied or incorporated into this 
  23.     contract by law or otherwise are hereby expressly excluded
  24.     to the extent permitted by law. In no circumstances 
  25.     whatsoever will UUNET PIPEX be liable for economic, 
  26.     indirect or consequential loss.
  27.  
  28. 1.3 The liability of UUNET PIPEX (if any) in contract, tort, 
  29.     negligence or otherwise arising out of or in connection with 
  30.     supply of Service hereunder shall be limited in respect of 
  31.     any one event or a series of two or more connected events to 
  32.     ú250.
  33.  
  34. 1.4 Save where the Service is terminated by UUNET PIPEX 
  35.     without cause, the Customer shall not be entitled to a 
  36.     refund of subscriptions paid.
  37.  
  38. 2. Term, Suspension and Termination of Service
  39.  
  40. 2.1 This contract shall be for a term equivalent to the 
  41.     subscription period paid by the Customer until the expiry of 
  42.     that subscription period or the contract terminated in 
  43.     accordance with the terms hereof.
  44.  
  45. 2.2 UUNET PIPEX may elect to suspend or terminate the Service 
  46.     immediately and without prior notice, on breach of any of 
  47.     the terms and conditions of this contract, including without 
  48.     limitation late or non-payment of sums due.
  49.  
  50. 2.3 From time to time certain PoPs, servers, or the whole or 
  51.     part of the Network may be closed down for routine repair or
  52.     maintenance work. UUNET PIPEX shall give as much notice as 
  53.     in the circumstances is reasonable and shall endeavour to 
  54.     carry out such works during the scheduled maintenance
  55.     periods as published from time to time.
  56.  
  57. 3. Improper Use and Liabilities
  58.  
  59. 3.1 Use by the Customer:
  60.  
  61.     The Customer acknowledges that it may only use the Service 
  62.     for lawful purposes. The Customer warrants that:
  63.  
  64. 3.1.1 it shall not (or authorise or permit any other party to) 
  65.       use the Service or the UUNET PIPEX network to receive or 
  66.       transmit material which is in violation of any law or 
  67.       regulation, which is obscene, threatening, menacing,
  68.       offensive, defamatory, in breach of confidence, in breach
  69.       of any intellectual property right (including copyright),
  70.       or otherwise unlawful;
  71.  
  72. 3.1.2 it shall not knowingly or recklessly transmit any
  73.       electronic material (including viruses) through the
  74.       Service which shall cause or is likely to cause detriment
  75.       or harm, in any degree, to computer systems owned by 
  76.       UUNET PIPEX or other Internet users;
  77.  
  78. 3.1.3 its account is to be used by a single user only and that
  79.       it will not allow simultaneous access using the same
  80.       log-in;
  81.  
  82. 3.1.4 it as the registered user of the account will keep the
  83.       username and password secure and not let them become 
  84.       public knowledge and that the password will not be stored
  85.       anywhere on a computer in plain text;
  86.  
  87. 3.1.5 if the password becomes known to any other unauthorised
  88.       user it will inform UUNET PIPEX immediately;
  89.  
  90. 3.1.6 any breach of these obligations shall entitle UUNET
  91.       PIPEX to immediately terminate the Service to the Customer
  92.       without notice.
  93.  
  94. 3.2 The Customer hereby agrees to fully indemnify and to hold
  95.     UUNET PIPEX harmless from and against any claim brought by
  96.     a third party resulting from the use of the Service or the
  97.     UUNET PIPEX network by the Customer and in respect of all
  98.     losses, costs, actions, proceedings, claims, damages,
  99.     expenses (including reasonable legal costs and expenses), or
  100.     liabilities, whatsoever suffered or incurred directly by
  101.     UUNET PIPEX in consequence of the Customer's breach or
  102.     non-observance of these terms and conditions.
  103.  
  104. 3.3 The Customer shall defend and pay all costs, damages, 
  105.     awards, fees (including any reasonable legal fees) and
  106.     judgements awarded against UUNET PIPEX arising from the
  107.     above claims and shall provide UUNET PIPEX with notice of
  108.     such claims, full authority to defend, compromise or settle
  109.     such claims and reasonable assistance necessary to defend
  110.     such claims, at the Customer's sole expense.
  111.  
  112. 3.4 The Customer shall be liable to pay all and any additonal
  113.     charges in connection with the use of the Service including
  114.     those levied by its telephone service provider.
  115.  
  116. 3.5 Use by others:
  117.  
  118.     The Customer acknowledges that UUNET PIPEX is unable to
  119.     exercise control over the content of information passing
  120.     over the UUNET PIPEX network or via the Service, and
  121.     UUNET PIPEX hereby excludes all liability of any kind for
  122.     the transmission or reception of infringing information of
  123.     whatever nature.
  124.  
  125. 4. Connection to Other Networks
  126.  
  127.    The Service may be used by the Customer to link into other
  128.    networks worldwide, and the Customer agrees to conform to the
  129.    acceptable use policies of such networks.
  130.  
  131. 5. Password
  132.  
  133.    UUNET PIPEX reserves the right to change the Customer's
  134.    password at any time at its sole discretion.
  135.  
  136. 6. Restriction on Sub-leasing/Re-selling
  137.  
  138.    The Customer in entering into this contract undertakes that
  139.    it will not assign, re-sell sub-lease or in any other way
  140.    transfer the UUNET PIPEX connection. Contravention of this
  141.    restriction in any way, whether successful or not, will
  142.    result in the service being terminated by UUNET PIPEX
  143.    forthwith.
  144.  
  145. 7. Profligate Use
  146.  
  147.    Profligate use of the UUNET PIPEX network is prohibited.
  148.    UUNET PIPEX considers that any applications which transmit
  149.    live video, live audio, or make similar traffic demands
  150.    across the UUNET PIPEX network by whatever means
  151.    constitutes making profligate use of the UUNET PIPEX
  152.    network. Use of IP Multicast, other than by means provided
  153.    and co-ordinated by UUNET PIPEX is also prohibited.
  154.  
  155. 8. Assignment
  156.  
  157.    UUNET PIPEX shall be entitled to assign this Agreement 
  158.    either in whole or in part. This Agreement shall be personal 
  159.    to the Customer who shall not be entitled to assign this
  160.    Agreement in whole or in part.
  161.  
  162. 9. Data Protection
  163.  
  164.    UUNET PIPEX reserves the right to put the names and other
  165.    information from the registration form relating to its 
  166.    Customers into a computerised directory for internal use 
  167.    only, unless specific written instructions are received from 
  168.    the Customer.
  169.  
  170. 10. PIPEX Dial Trial Users
  171.  
  172.     PIPEX Dial Trial users acknowledge that access to the 
  173.     UUNET PIPEX network may be restricted at the sole 
  174.     discretion of UUNET PIPEX in the interests of fully
  175.     subscribed PIPEX Dial customers or the UUNET PIPEX network.
  176.  
  177. 11. Software Agreement
  178.  
  179.     UUNET PIPEX and its suppliers own the Licensed Programs 
  180.     and the documentation provided with this Agreement, both of 
  181.     which are protected by copyright laws. Your right to use the 
  182.     Licensed Programs and documentation is limited to the terms 
  183.     and conditions described below:
  184.  
  185. 11.1 License
  186.  
  187.      YOU MAY: (a) use the enclosed Licensed Programs on a single 
  188.      computer; (b) physically transfer the Licensed Programs 
  189.      from one computer to another provided that the Licensed 
  190.      Programs are used on only one computer at a time, and that 
  191.      you remove any copies of the Licensed Programs from the 
  192.      computer from which the Licensed Programs are being 
  193.      transferred; (c) make copies of the Licensed Programs 
  194.      solely for the purposes of backup.
  195.  
  196.      The copyright notice must be reproduced and included on a 
  197.      label on any backup copy.
  198.  
  199.      YOU MAY NOT: (a) distribute copies of the Licensed Programs
  200.      or their documentation to others; (b) rent, lease or grant 
  201.      your rights to the Licensed Programs; (c) translate, 
  202.      reverse engineer, decompile or disassemble, or otherwise 
  203.      alter the Licensed Programs or their documentation without 
  204.      the prior written consent of UUNET PIPEX except to the 
  205.      extent applicable law specifically prohibits such 
  206.      restriction; or (d) ship or transmit (directly or 
  207.      indirectly) any copies of the Licensed Programs, or any 
  208.      technical data in the Licensed Programs or its media, or
  209.      any direct product thereof, to any entity or country 
  210.      destination.
  211.  
  212. 11.2 Term
  213.  
  214.      Your license remains in effect until terminated. You can 
  215.      terminate it at any other time by destroying the Licensed 
  216.      Programs together with all copies of the Licensed Programs
  217.      in any form. Your license will also automatically 
  218.      terminate without notice if you fail to comply with any 
  219.      term and condition of this Agreement. Upon any termination 
  220.      you must destroy all copies of the Licensed Programs in any
  221.      form.
  222.  
  223. 11.3 Limited Warranty
  224.  
  225.      UUNET PIPEX warrants the media on which the Licensed 
  226.      Programs are provided will be free from defects in materials
  227.      and workmanship under normal use for a period of thirty
  228.      (30) days after purchase. Defective media may be returned,
  229.      with proof of purchase, for replacement without charge 
  230.      during the thirty (30) day warranty period. UUNET PIPEX 
  231.      or the other software providers do not warrant that the 
  232.      Licensed Programs are error-free, will operate without
  233.      interruption or are compatible with all equipment and
  234.      software configurations. In addition, the security mechanism
  235.      implemented by the software has inherent limitations and 
  236.      you must determine that the software sufficiently meets 
  237.      your needs. This warranty does not cover any Licensed
  238.      Programs which have been subjected to damage or abuse or
  239.      which have been altered or changed in any way. UUNET PIPEX
  240.      is not responsible for problems caused by computer hardware,
  241.      computer operation systems or the use of the Licensed
  242.      Programs in conjunction with non-UUNET PIPEX software.
  243.      EXCEPT AS PROVIDED IN THIS SECTION 11.3, UUNET PIPEX MAKES
  244.      NO OTHER WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE
  245.      LICENSED PROGRAMS, THEIR MERCHANTABILITY OR THEIR FITNESS
  246.      FOR A PARTICULAR PURPOSE.
  247.  
  248. 11.4 Limitation of Liability
  249.  
  250.      REPAIR, REPLACEMENT OR REFUND (AT THE OPTION OF UUNET
  251.      PIPEX) IS THE EXCLUSIVE REMEDY IF THERE IS A DEFECT. IN NO
  252.      EVENT SHALL UUNET PIPEX OR THE OTHER SOFTWARE PROVIDERS
  253.      BE LIABLE FOR INDIRECT, INCIDENTAL OR CONSEQUENTIAL
  254.      DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF INCOME,
  255.      DATA, USE, OR INFORMATION, EVEN IF UUNET PIPEX OR THE
  256.      OTHER SOFTWARE PROVIDERS HAVE BEEN ADVISED OF THE 
  257.      POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE
  258.      LIABILITY OF UUNET PIPEX OR THE OTHER SOFTWARE PROVIDERS
  259.      EXCEED THE AMOUNT PAID FOR THE LICENSED PROGRAMS AT ISSUE.
  260.      YOU SHALL NOT USE THE LICENSED PROGRAMS IN ANY CASE WHERE
  261.      DAMAGE OR INJURY TO PERSON, PROPERTY OR BUSINESS MAY OCCUR
  262.      IF ANY ERROR OCCURS. YOU EXPRESSLY ASSUME ALL RISK FOR SUCH
  263.      USE.
  264.  
  265. 12. UUNET PIPEX reserves the right to vary these terms and
  266.     conditions from time to time. Such changes shall be notified
  267.     to the Customer by Email and by posting on the UUNET PIPEX
  268.     Website. Changes in this manner shall be deemed to have been
  269.     accepted if the Customer continues to use the Service
  270.     after a period of two weeks from the date of Email or of
  271.     posting on the Website, whichever is the latter.
  272.  
  273. 13. UUNET PIPEX shall not be liable in respect of any breach
  274.     of this contract due to any cause beyond its reasonable
  275.     control including but not limited to, Act of God, inclement
  276.     weather, act or omission of Government or public telephone
  277.     operators or other competent authority or other party for
  278.     whom UUNET PIPEX is not responsible.
  279.  
  280. 14. The Customer acknowledges that it has read and accepts the
  281.     terms of this contract.
  282.  
  283. 15. This contract shall be governed by and construed in
  284.     accordance with the laws of England and Wales and the
  285.     Customer hereby submits to the exclusive jurisdiction of the
  286.     courts of England and Wales.
  287.
